Article VIII - Nominating Committee and Elections8.0 Purpose and Duties:The Chair shall appoint a Nominating Committee of the Users' Group charged with nominating members as candidates for election to the Board. The Nominating Committee shall receive suggested nominees, develop a slate of candidates, receive and validate nomination petitions, conduct the election and carry out its other responsibilities as specified in the Charter and Bylaws of the Users' Group and/or as prescribed by the Board. 8.1 Membership:The Nominating Committee shall be composed of persons named by the Board Chair. The numbers and length of service of the members of the Nominating Committee shall be determined by the Board. Members of the Nominating Committee may be members of the Board or may be members of the Users' Group at large. Members of the Nominating Committee may be nominated for national office while serving on the Committee, but only with the concurrence of the Board. 8.2 Chair:Annually, the Nominating Committee shall select its own Chair from those members named by the Board Chair. The Nominating Committee Chair shall prepare agendas for meetings and appoint such sub-committees as deemed necessary to perform the work of the Nominating Committee with the approval of the Board. 8.3 Meetings:The Nominating Committee shall annually hold a closed meeting, in person or electronically, to develop a slate of candidate nominees and to evaluate the potential qualifications of user members for future nomination. Additional meetings may be held as required. 8.4 Nomination of Board:Annually, nominations for the seats on the Board for those terms which will expire shall be presented to the Users' Group Membership for election. These candidates shall include those selected by the Nominating Committee and those members who have submitted petitions in accordance with specific guidelines to be established by the Board. 8.5 Elections of the Board:The date of annual elections shall be set by the Board. Elections will be held by mail with a ballot sent to all Users' Group Members in good standing. Users' Group Members may cast their votes for candidates in number equal to the positions vacant. There shall be no cumulative voting. Those candidates equal in number to the number of vacancies to be filled, receiving the highest number of votes, shall be declared elected to the Board. Ties will be resolved by lot by the Board. 8.6 Nominees:Nominees for membership of the Board must be members of the Users' Group in good standing and have approval of their employer to perform all obligations and enjoy all rights of a member of the Board.
